BREAKING: Unilever’s food-business talks with McCormick $MKC are now being structured as a reverse Morris trust that would leave Unilever holders with more than 50% of the combined company. The structure would separate Unilever’s food unit first, then merge it with McCormick in a tax-efficient deal that avoids a change in control that could trigger capital-gains taxes. Unilever’s food business is valued at EUR 28 billion to EUR 31 billion including debt, while McCormick’s enterprise value is about $18 billion and its market cap closed near $18.9 billion on March 27. Unilever’s food division generated EUR 12.9 billion of sales in 2025, equal to about 25% of group revenue, making this the biggest strategic move under CEO Fernando Fernandez. Past reverse Morris trust deals cited as comparables include IFF’s $45.4 billion combination with DuPont Nutrition & Biosciences. If Unilever holders end up with a majority stake in a company built around Hellmann’s, Knorr, Cholula and French’s, does McCormick become the smallest buyer to reshape one of the biggest food portfolios in the sector?
